Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 2, 2007, Maria De Martini, Vice President & Corporate Controller, and ABM Industries Incorporated’s principal accounting officer, notified ABM that she is resigning March 16, 2007. Ms. De Martini will remain in her position through the filing of the Company’s Quarterly Report on Form 10-Q for the fiscal period ending January 31, 2007, which the Company expects to file by March 12, 2007. ABM is conducting a search for a new controller.
